1. Acceptance of Terms
By accessing and using HermesCloud AI (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Use License
Permission is granted to temporarily access and use the Service for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not: modify or copy the materials; use the materials for any commercial purpose; attempt to decompile or reverse engineer any software contained on the Service; remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or mirror the materials on any other server.
3. AI Agent Services
HermesCloud AI provides intelligent automation services through AI agents. You acknowledge that: (a) AI-generated outputs may require human review and verification; (b) the Service uses machine learning models that continuously improve; (c) you are responsible for reviewing and validating all AI-generated content before use; (d) we do not guarantee specific outcomes or results from AI agent operations.
4. User Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Acceptable Use Policy
You agree not to use the Service: (a) in any way that violates any applicable national or international law or regulation; (b) to transmit any malicious code or engage in any conduct that could disable, damage, or impair the Service; (c) to attempt to gain unauthorized access to any portion of the Service; (d) to use the Service for any fraudulent or unlawful purpose; (e) to harass, abuse, or harm another person; (f) to impersonate or attempt to impersonate the Company, an employee, another user, or any other person or entity.
6. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of HermesCloud AI and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without the prior written consent of HermesCloud AI.
7. Data Processing and Privacy
Your use of the Service is also governed by our Privacy Policy. We process your data in accordance with GDPR, CCPA, and other applicable data protection regulations. You retain ownership of all data you input into the Service. We use your data only to provide and improve the Service. 8. Subscription and Payment Terms
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually). At the end of each billing period, your subscription will automatically renew unless you cancel it or we cancel it. You may cancel your subscription renewal through your account settings or by contacting our support team.
9. Free Trial
We may offer a free trial to new users. At the end of the free trial period, you will be charged the applicable subscription fee unless you cancel before the trial period ends. You may cancel at any time during the trial period without being charged.
10. Refund Policy
We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 30 days, contact our support team for a full refund. Refunds are not available after 30 days from the initial subscription purchase.
11. Service Level Agreement (SLA)
We strive to maintain 99.9% uptime for the Service. In the event of service interruptions exceeding our SLA commitments, eligible customers may receive service credits as outlined in our separate SLA document. Scheduled maintenance windows are excluded from SLA calculations.
12. Limitation of Liability
In no event shall HermesCloud AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
13. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. Neither HermesCloud AI nor any person associated with HermesCloud AI makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Service.
14. Indemnification
You agree to defend, indemnify, and hold harmless HermesCloud AI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right.
15. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service or contact our support team. All provisions of the Terms which by their nature should survive termination shall survive termination.
16. Governing Law
These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
